Terms & Agreements of Wiki-Teacher.com

PLEASE READ THESE TERMS & AGREEMENTS CAREFULLY BEFORE USING THE WIKI-TEACHER.COM WEBSITE (“WEBSITE” or “SITE”).  USING THIS SITE INDICATES THAT YOU HAVE READ AND ACCEPT THESE TERMS & AGREEMENTS. Wiki-Teacher.com and the Clark County School District (“CCSD”) reserve the right, at any time, to modify, alter, or update these Terms & Agreements, and you agree to be bound by such modifications, alterations, or updates.  Any changes will become effective when they are posted on this Site.

“Site Content” is defined as any information, data, text, files, software, graphics, designs, links, photographs, audio, video, or other materials found on Wiki-Teacher.com.  “User” is defined as any individual who accesses Wiki-Teacher.com, including, but not limited to, individuals who suggest or submit “Site Content” as well as individuals who download and/or otherwise use Site Content.

Users of Wiki-Teacher.com agree to provide true, accurate, current, and complete information to Wiki-Teacher.com and the CCSD in all forms of communication (including user submissions).

User Submissions

You agree that you are solely responsible for all Site Content you suggest or submit.  Wiki-Teacher.com and CCSD do not assume responsibility for the validity or accuracy of Site Content.  Wiki-Teacher.com and CCSD may, but are not obligated to, screen or monitor Site Content.  Wiki-Teacher.com and/or CCSD may refuse, edit, or remove any Site Content at any time for any reason.

By suggesting or submitting Site Content, you agree that individuals (including, but not limited to, other users) may use, distribute, reproduce, modify, adapt, reformat, translate, create compilations and collective works, prepare derivative works based upon, publish, perform, display, transmit, upload, and re-post original or altered versions of the Site Content in any format or medium without your prior consent.  No compensation will be paid with respect to the use of any Site Content you suggest or submit.  If you do not agree to the release of your rights to the Site Content as stated above, then do not suggest or submit Site Content on Wiki-Teacher.com.

By suggesting or submitting any Site Content, you further represent and warrant that:

(g)	Your Site Content does not contain material that is (or may reasonably be considered to be) obscene, libelous, defamatory, pornographic, indecent, lewd, derogatory, harassing, threatening, hateful, harmful, invasive of privacy or publicity rights, abusive, inflammatory, or racially, ethnically, religiously, or otherwise biased or offensive;
(h)	Your Site Content does not contain any viruses, worms, spyware, or other potentially damaging programs or files; and
(i)	Your Site Content does not contain any information that you consider confidential, proprietary, or personal.

Wiki-Teacher.com and CCSD do not guarantee that you will have any recourse to edit or delete any Site Content you have submitted.  However, if you wish to remove Site Content that you have submitted, you may request that it be removed by contacting CCSD at the address provided below.

Prohibited Uses

Use of Site Content is restricted to non-profit educational activities.  Site Content may not be used for profit (including any commercial advantage or private monetary compensation) without the express written permission of the CCSD.  In addition, the Site Content and resources found within this Website may not be used outside of normal classroom activities without citing the source(s) and giving credit to the creator(s). Specifically, if the author of the Site Content is CCSD, then CCSD must be cited as the original author of the material, and, if applicable, it must be noted that alterations/modifications have been made to the CCSD Site Content by the User.

You agree not to use the Site Content:  (a) in a manner that violates any local, state, national, foreign, or international statute, regulation, rule, order, treaty, or other law; (b) to stalk, harass, or harm another individual; (c) to impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity; or (d) to interfere with or disrupt the Wiki-Teacher.com or CCSD.net websites.

Wiki-Teacher.com and CCSD reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with the defense of such claim.

Modifications or Termination

Wiki-Teacher.com and CCSD reserve the right to modify, suspend, or discontinue the Site at any time without notice to you.

Wiki-Teacher.com and CCSD may terminate, suspend, or modify your registration with, or access to, all or part of the Site, without notice, at any time and for any reason.  If you breach any of these Terms & Agreements, your authorization to use the Site automatically terminates and you must immediately destroy any downloaded or printed Site Content (and any copies thereof).

Jurisdiction and Choice of Law

These Terms & Agreements shall be construed and enforced in accordance with the laws of the State of Nevada, without giving effect to any principles of conflicts of law.  Any action to enforce these Terms & Agreements shall be brought in the federal or state courts located in the State of Nevada.

General

If any provision of these Terms & Agreements is invalid or unenforceable under applicable law, it shall not affect the validity or enforceability of the remainder of the Terms & Agreements, and without further action by the parties, the provision shall be reformed to the minimum extent necessary to make the provision valid and enforceable.

These Terms & Agreements constitute the entire and exclusive and final statement of the agreement between you and Wiki-Teacher.com and CCSD with respect to the subject matter hereof, superseding any prior agreements or negotiations between you and either Wiki-Teacher.com or CCSD with respect thereto.
